By accessing or using the Indus Creative website (induscreative.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and others who access or use our services. We reserve the right to update these terms at any time, with changes effective upon posting.
2. Description of Services
Indus Creative provides video production, animation, and video marketing services, including but not limited to:
- Video production and direction
- 2D animation and motion graphics
- Video editing and post-production
- Paid video advertising (YouTube, Meta, TikTok)
- Video SEO and distribution strategy
- Brand film and commercial production
The specific scope of services for each engagement is defined in a separate project agreement or statement of work.
3. Proposals and Agreements
All project engagements begin with a written proposal or statement of work outlining the scope, deliverables, timeline, and cost. A project begins only after:
- The client has approved the proposal in writing (email confirmation is acceptable)
- The agreed deposit has been received
Changes to project scope requested after approval may result in additional costs and timeline adjustments, which will be communicated and agreed upon before work continues.
4. Payment Terms
Payment terms are specified in each project proposal. Standard terms are:
- A deposit (typically 50%) is due before work begins
- The remaining balance is due upon project completion before final files are delivered
- Retainer agreements are billed monthly in advance
Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month. We reserve the right to pause work on projects with outstanding invoices.
5. Intellectual Property
Client ownership
Upon receipt of full payment, Indus Creative assigns to the client full ownership of the final deliverables produced under the project agreement, except as noted below.
Third-party assets
Some projects may incorporate licensed third-party assets (music, stock footage, fonts, etc.). Licensing terms for these assets are governed by their respective license agreements and may impose usage restrictions.
Portfolio rights
Unless otherwise agreed in writing, Indus Creative retains the right to showcase work produced for clients in our portfolio, case studies, and marketing materials.
Preliminary work
Concepts, drafts, and work-in-progress materials that are not part of the final approved deliverables remain the property of Indus Creative.
6. Client Responsibilities
Clients are responsible for:
- Providing accurate, complete briefs and project information
- Supplying necessary materials (logos, footage, scripts) in a timely manner
- Providing feedback and approvals within agreed timeframes
- Ensuring they have the rights to any materials they provide to us
- Ensuring that the intended use of deliverables complies with applicable laws
Delays caused by late client feedback or missing materials may affect project timelines and are not the responsibility of Indus Creative.
7. Limitation of Liability
Indus Creative's liability for any claim arising from our services is limited to the total fees paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or revenue.
We make no guarantees regarding specific advertising performance outcomes, including but not limited to views, clicks, conversions, or return on ad spend. Campaign performance depends on many factors outside our direct control.
8. Termination
Either party may terminate a project agreement with written notice. In the event of termination:
- The client is responsible for payment of all work completed up to the termination date
- Deposits are non-refundable unless otherwise specified in the project agreement
- Final deliverables will not be transferred until outstanding balances are settled
9. Governing Law & Disputes
These Terms of Service are governed by the laws of the United States. Any disputes arising from these terms or our services will first be addressed through good-faith negotiation. If a dispute cannot be resolved informally, it will be submitted to binding arbitration in accordance with applicable rules.
